Mergers & Acquisitions: Tom has closed hundreds of millions of dollars’ worth of transactions within a broad range of industries, with deal sizes ranging from below $1 million to over $100 million. Tom has substantial experience drafting and negotiating stock and asset purchase agreements, real estate and lease agreements, operating agreements and bylaws, stockholder and member agreements, profits interest and equity incentive plans, employment and consulting agreements, confidentiality and non-competition agreements, letters of intent and term sheets, and other related documents.

General Counsel / Contracts & Transactions: In addition to his M&A practice, Tom provides general counsel and contract and transactional services to companies in a variety of industries, including the automotive industry. Tom has significant experience drafting and negotiating purchase and supply agreements and related terms and conditions, reviewing and revising loan and capital lease documents, advising and counseling boards of directors and corporate committees, creating and maintaining governance and organizational documents, and otherwise advising on day-to-day legal issues. Indeed, Tom is usually the first person his clients call when faced with any kind of legal issue.
